1. Introduction and Identity

This Legal Disclaimer governs your use of the website and services provided by Yamin Asset Management & Financial Consultancy (hereinafter referred to as the “Yamin Office”). 2. Nature of Services and role of Yamin Office

By accessing this website or submitting an application for project financing, you (the "Applicant" or "Project Developer") acknowledge that you have read, understood, and agree to be bound by the terms set forth herein.

The primary objective of the Yamin Office is to provide professional consultancy and advisory services to Project Developers. Specifically, the Yamin Office assists in reviewing project proposals, restructuring the provided data, and preparing comprehensive presentations aimed at making the project attractive to external financiers.

Crucially, the Yamin Office operates strictly within the following parameters:

  • Not a Financial Service Provider: The Yamin Office is not a provider of financial services, nor does it act as a loan broker, lender, credit institution, or investment intermediary as defined under the Israeli Capital Market, Insurance and Savings Regulation Law or any equivalent international regulation.

  • Not a Decision-Maker: The Yamin Office is not an underwriting or decision-making unit. It does not possess, nor does it claim to possess, the authority to approve, reject, or guarantee the acceptance of any application for funding.

  • Facilitation Only: Should a financier (the "Lender") express interest in an Applicant's project, the Yamin Office will facilitate a direct introduction. Following this introduction, the Applicant will communicate and negotiate directly with the Lender, without the mediation or intervention of the Yamin Office in the negotiation process.

3. No Modifications of Terms

The Yamin Office is neither entitled to, nor does it have the intention to, modify, amend, or negotiate the specific terms, conditions, or interest rates determined by the Lender.

All contractual terms regarding financing are strictly between the Project Developer and the Lender.

4. Independent Decision-Making by the Applicant

The Yamin Office does not, and will not, influence the Applicant’s decision to accept, reject, or counter-offer the terms provided by the Lender. The ultimate decision to enter into a financing agreement rests solely and exclusively with the Project Developer. The Yamin Office bears no responsibility for the economic or commercial consequences of the Applicant's final decision.

5. Compensation and fee structure

The Yamin Office operates under a strict "Success-Fee" model, wherein its activities are compensated exclusively by the financiers associated with the Yamin Office.

Therefore, the Yamin Office hereby warrants and guarantees that:

  • No Charge to Applicant: Under no circumstances shall the Yamin Office charge the Project Developer any provision, commission, administrative fee, retainer, consultancy fee, or any other form of payment.

  • No Advance Fees: No fees are required in advance of any service being rendered.

  • No Post-Disbursement Fees: The Yamin Office expressly waives any right to claim fees from the Applicant after the desired loan has been successfully disbursed to the Project Developer.

6. No Fiduciary Duty

The information provided by the Yamin Office is for informational and presentation purposes only. Nothing contained on this website or in any communication from the Yamin Office shall constitute legal, financial, or investment advice. While the Yamin Office strives for accuracy, it does not guarantee the completeness or reliability of any information presented to the Lender.The Applicant acknowledges that the Yamin Office does not owe the Applicant a fiduciary duty.

7. Limitation of Liability

To the fullest extent permitted by law, A.C.T. CONSULTANTS LLP, and the Yamin Office shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of:

  1.  The Lender's refusal to finance the project;

  2. The terms of financing proposed by the Lender;

  3. The Applicant's reliance on any information provided during the consultancy phase;

  4. Any agreements entered into directly between the Applicant and the Lender.

8. Governing Law and Jurisdiction

This Disclaimer and any disputes arising out of or related to the use of the Yamin Office services shall be governed by and construed in accordance with the law of Singapore. The competent courts of Singapore shall have exclusive jurisdiction over any such disputes.
